Bank Raya Shareholders Approve Governance and Board Changes at Annual Meeting

Jakarta. Bank Raya Indonesia (AGRO) held its 2026 Annual General Meeting of Shareholders on Wednesday, attended by shareholders representing 89.53% of the company’s total outstanding shares, equivalent to 22.08 billion shares.

During the meeting, shareholders approved several key agenda items, including the company’s annual report and 2025 financial statements, remuneration packages for the 2026 fiscal year and 2025 performance incentives, the appointment of a public accounting firm to audit the company’s 2026 financial statements, amendments to the company’s articles of association, and changes to the composition of the board of commissioners and directors.

Shareholders also delegated authority related to approval of the company’s long-term corporate plan for the 2026–2030 period.

Regarding the company’s 2025 performance, shareholders approved and ratified the annual report, financial statements, and supervisory report of the board of commissioners.

The meeting also granted full release and discharge of responsibility to members of the board of directors for management actions undertaken during the 2025 fiscal year, as well as to members of the board of commissioners for supervisory actions, provided those actions were not criminal offenses and were reflected in the approved reports.

Bank Raya’s 2025 financial statements were audited by Purwantono, Sungkoro & Surja, a member firm of Ernst & Young, which issued an unqualified opinion stating the statements were fairly presented in all material respects.

President Director Ida Bagus Ketut Subagia said the annual shareholders meeting reflected the company’s commitment to good corporate governance and served as the highest corporate forum for approving strategic management decisions.

“Through this annual shareholders meeting, the company also reaffirms strategic steps to maintain healthy growth and adapt to changes in the banking industry, while strengthening Bank Raya’s long-term business direction,” Bagus said.

“Bank Raya also extends its highest appreciation to all shareholders for their continued support. We hope Bank Raya’s performance will continue to grow positively and sustainably,” he added.

Following approval of all agenda items, Bagus expressed optimism that Bank Raya would further strengthen its position as a digital bank by reinforcing business fundamentals, expanding digital service innovation, and increasing its contribution to accelerating digital financial inclusion in Indonesia.

The company also announced its updated board composition.
